1. Agreement to Terms

By accessing or using the ServBased platform and website at www.servbased.com (“Services”), you agree to be bound by these Terms of Service (“Terms”). ServBased is a product of Nexseras LLC. If you do not agree to these Terms, you may not access or use our Services.

You must be 18 years of age or older to use our Services or opt in to any communications from ServBased, including SMS messaging. By using our Services, you represent and warrant that you are at least 18 years old.

2. Affiliate Participation

As an affiliate partner, you agree to:

• Provide accurate and truthful information in all deal submissions
• Maintain the confidentiality of your account credentials
• Conduct all marketing activities in a professional, ethical, and compliant manner
• Adhere to the minimum debt requirements and eligibility criteria set forth by ServBased
• Comply with all applicable federal, state, and local laws and regulations
• Not misrepresent your relationship with ServBased or its partner firms

3. Commission and Payouts

Commissions are calculated based on the total enrolled debt amount at the applicable commission tier rate. Payouts are typically processed the following Friday after the client's initial draft date. We reserve the right to adjust commissions in the event of client cancellations within the specified clawback period. Commission structures and payout schedules are subject to change with reasonable notice.

4. Prohibited Conduct

You may not:

• Use deceptive, misleading, or unethical marketing practices
• Submit fraudulent, fabricated, or misleading deal information
• Attempt to bypass our security, tracking, or verification systems
• Represent yourself as an employee of ServBased or its partner law firms or fulfillment partners
• Engage in any activity that violates applicable laws or regulations
• Harass, threaten, or abuse other users, partners, or ServBased staff
• Use our platform for any purpose other than its intended use

5. Termination

We reserve the right to terminate or suspend your account at any time for violations of these Terms, fraudulent activity, or for any other reason at our discretion. Upon termination, your right to access the platform will cease immediately. Any earned but unpaid commissions will be handled in accordance with your partner agreement.

6. Limitation of Liability

ServBased and Nexseras LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the platform. Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the total commissions paid to you in the six months preceding the claim.

7. SMS Messaging Terms

ServBased may send SMS text messages to partners and prospective partners who have opted in through our website, Facebook lead ads, or other opt-in methods. Below are the complete terms governing our SMS messaging program.

Description of SMS Use Cases

SMS messages from ServBased may include:

• Partner program application updates and status notifications
• Onboarding instructions and setup guidance
• Appointment and call reminders
• Deal status updates and notifications
• Account alerts and important notices
• Follow-up communications regarding your partnership
• Promotional information about partner program features and benefits

Opt-Out Instructions

You may opt out of receiving SMS messages from ServBased at any time by replying STOP to any text message you receive from us. After opting out, you will receive one final confirmation message acknowledging your request, and no further SMS messages will be sent to you. You may also opt out by contacting us directly at partners@servbased.com or (954) 355-9202.

If you opt out of SMS messages, you may still receive communications through other channels such as email, unless you separately opt out of those as well.

To resume receiving SMS messages after opting out, reply START to any previous message or contact us.

Message & Data Rate Disclosure

Message and data rates may apply. Standard messaging rates from your wireless carrier will apply to all SMS messages sent to and received from ServBased. Message frequency varies based on your account activity, application status, and communication preferences. ServBased is not responsible for any charges incurred from your mobile carrier.

Carrier Liability Disclaimer

ServBased and all participating mobile carriers are not liable for delayed, undelivered, or misdirected messages. Carriers are not responsible for the content, accuracy, or timeliness of any messages sent through the ServBased SMS program. Delivery of messages is subject to effective transmission by your mobile carrier and network conditions. T-Mobile is not liable for delayed or undelivered messages.

Age Restriction

You must be 18 years of age or older to opt in to ServBased SMS communications. By opting in to receive SMS messages, you confirm that you are at least 18 years of age. If we become aware that an individual under 18 has opted in, we will promptly remove their information and cease all messaging.

8. Intellectual Property

All content, trademarks, logos, and intellectual property on the ServBased platform are owned by Nexseras LLC. You may not reproduce, distribute, or create derivative works based on our content without written permission.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in the State of Florida.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
